Updated fees schedule and expanded data-protection language.
1. Fees & Royalties
Licensee agrees to pay a monthly royalty of 10% of gross program revenue (previously 8%), remitted by the 10th of the following month. Late payments incur 1.5% monthly interest.
2. Territory
The license is granted for the specific city/region declared during Business Setup. Expansion requires a new agreement.
3. Intellectual Property
All course materials, marks and calligraphy remain the exclusive property of the licensor. Licensee receives a limited, non-transferable right to use them for approved programs only.
4. Monthly Reporting
Licensee will submit revenue, student counts and non-financial metrics on the monthly reporting portal within 7 days of period close.
5. Termination
Either party may terminate for material breach on 30 days' written notice. Authority materials must be returned within 14 days of termination.
6. Data Protection & Retention
Licensee acts as a joint controller for student personal data, follows applicable local privacy law, honors data-subject requests within 30 days, and retains records for no longer than 7 years after the student's last enrollment.
